Terms and Conditions of Sale

All orders placed with Trade Blinds Pty Ltd shall only be accepted subject to these Terms and Conditions of Sale. Trade Blinds Pty Ltd may at any time and from time to time alter these Terms and Conditions of Sale and such Terms and Conditions of Sale shall apply after notification by Trade Blinds Pty Ltd to the customer. The notes in the price list relating to specific products should be read as terms and conditions.

Product Liability

The Seller’s liability for goods supplied is limited to making good any defects and liability limited to material value of defective goods. At the seller’s option, these include replacement of the goods or the supply of equivalent goods or the payment of the cost of replacing the goods or of acquiring equivalent goods provided that:

• The defects have arisen solely from faulty materials or workmanship

• The goods have not received maltreatment, inattention or interference; and

• The goods have been used in accordance with the seller’s performance ratings and care instructions.

Except as provided herein, all express and implied warranties, guarantees and conditions under statute or general law as to merchantability, description, quality, suitability or fitness of the goods for any purpose or as to design, materials or workmanship or otherwise are hereby expressly excluded. The seller shall not be liable for physical or financial injury, loss or damage or for consequential loss or damage of any kind arising out of the supply of the goods or arising out of the seller’s negligence or in any way whatsoever.

Title of Goods

Property and ownership of any goods supplied will not pass to the purchaser but will remain with Trade Blinds Pty Ltd until payment is made in full of the purchase price of the goods and all other amounts owing to the seller by the purchaser.

Risk in any goods supplied shall pass at the time of delivery and the purchaser shall insure (and keep insured) the goods. Until property passes to the purchaser:

• The purchaser shall hold any goods supplied as fiduciary, bailee and agent for the seller;

• Unless otherwise notified in writing, the purchaser is authorized to sell the goods in the ordinary course of business;

• The seller shall have the right by its servants and agents to enter upon the purchaser’s premises between 9am and 5pm to inspect the goods;

• The goods shall be stored separately and in a manner to enable them to be indentified and cross-referenced to particular invoices;

• The seller shall have a right to call for the return of any goods supplied and may retake possession of any goods supplied and for that purpose shall have the right by its servants and agents to enter upon the purchaser’s premises;

• Notwithstanding the provision of any credit facilities to the seller the purchaser shall pay the purchase price of any goods supplied immediately the goods are on-sold by the purchaser and the proceeds of sale receive.

Orders

All orders, amendments and cancellations should be in writing and faxed or emailed to our sales office. Verbal orders, amendments or cancellations will NOT be accepted.

If a customer cancels or alters any order at any time after Trade Blinds Pty Ltd has received the order then Trade Blinds Pty Ltd reserves the right to charge to the customer the costs of materials and labour expended to the date of such cancellation or alteration.

Sizes

Unless otherwise stated it is assumed all orders placed are hard sizes and state the width first and drop second (WIDTH x DROP).

Prices

Prices do not include any applicable GST or other applicable tax or duty payable and all such taxes or duties shall be paid by the customer as an additional charge.

All prices shall be those referred to in Trade Blinds Pty Ltd price list and/or arrangements current at the date of invoice and prices shall be subject to change without notice.

Terms of Payment

Unless otherwise stated on the invoice all prices are strictly net. The granting of credit to a customer shall be at the absolute discretion of Trade Blinds Pty Ltd and unless otherwise demanded by Trade Blinds Pty Ltd the customer shall make payment within 30 days after the end of month in which delivery was made.

In the event that a customer’s account reaches 45 days after end of month Trade Blinds Pty Ltd will hold all current orders for that customer in their warehouse until account is cleared and will still accept new orders.

In the event that a customer’s account reaches 60 days after end of month Trade Blinds Pty Ltd will cease to accept any further orders for that customer and will not deliver any current orders until account is cleared.

Inspection

The customer shall examine the products immediately after delivery and Trade Blinds Pty Ltd shall not be liable for any misdelivery, shortage, defect or damage unless Trade Blinds Pty Ltd receives details in writing within 7 days of the date of delivery or products.

Returns

No returns will be accepted unless authorized by Trade Blinds Pty Ltd. Where a remake of the product is requested it will be invoiced at the normal price and upon return of the faulty product, if it is established to be Trade Blind’s error, a credit will be issued.

Warranty

Defective goods supplied by Trade Blinds Pty Ltd will be replaced or at Trade Blinds Pty Ltd option, the invoice value of those goods will be credited. Under all circumstances Trade Blinds Pty Ltd liability shall be limited to the material value of the defective goods. Trade Blinds Pty Ltd shall not be liable for any further or subsequent loss or damage, especially additional fitting charges and freight.

Trade Blinds Pty Ltd will use its best endeavours to pass on to the customer the benefit of any warranties or guarantees it receives in respect of products or parts which form part of the finished product we manufacture.
